Resolution on the authorisation of the Executive Board to sell treasury shares in a way other than via the stock exchange or a public offering and exclusion of the shareholders' general purchase right (exclusion of the subscription right).

The 97^th Annual General Meeting of EVN AG, FN 72000 h, with headquarters in Maria Enzersdorf (“Company“), which was held on 25 February 2026 in Maria Enzersdorf, passed the following resolution to point 8 of the agenda:

The Executive Board is hereby authorised for a term of five (5) years beginning on the date of this resolution to sell or use the Company's treasury shares in a way other than via the stock exchange or a public offering with the Supervisory Board's approval. The authorisation may be exercised in whole or in part or in several tranches as well as in pursuit of one or more purposes. The shareholders' pro-rata purchase right in the event of the sale or use of treasury shares in a way other than via the stock exchange or a public offering is hereby excluded (exclusion of the subscription right).

The Company will publish all other information in connection with the possible resale of shares in accordance with Sections 4 to 7 of the Austrian Publication Order of 2018 (“Veröffentlichungsverordnung 2018”) in the Internet on its website under http://www.evn.at/sale-of-treasury-shares.
